Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and VisionZeroAI (Pty) Ltd ("VisionZeroAI", "we", "us", or "our"), a company registered in South Africa.

By accessing or using Signal at app.visionzero.co.za or the VisionZero website at visionzero.co.za, you agree to these Terms. If you do not agree, please do not use the Services.

You must be at least 18 years old to use Signal. We may update these Terms from time to time. Changes take effect when posted or communicated by email. Continued use after any change means you accept the updated Terms.

2. What Signal Does

Signal is a cybersecurity vulnerability intelligence platform. It helps security teams understand which vulnerabilities affect their technology environment and what to prioritise. Signal provides:

• A global CVE feed with real-time threat monitoring and KPI dashboards
• Environment-aware vulnerability matching against your configured technology stack
• Urgency scoring and prioritised action queues (Act Now, Prioritise, Investigate, Monitor)
• CISA Known Exploited Vulnerabilities (KEV) tracking
• Multi-environment management (Production, Staging, Development)
• CVE watchlist and technology stack configuration
• Subscription-based access to advanced features

Signal is a web application. These Terms apply to the Signal web application and the VisionZero marketing website. Signal is not designed or certified for compliance with industry-specific regulations such as HIPAA or FISMA. If your use of Signal is subject to such regulations, you are responsible for ensuring your own compliance.

3. Intellectual Property

Our IP

VisionZeroAI owns or licenses all intellectual property rights in Signal and the VisionZero website — including source code, databases, software, designs, text, graphics, trademarks, and logos. All rights are reserved.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Signal for your personal or internal business purposes, subject to these Terms. This licence does not permit you to commercially exploit Signal or its content without our prior written permission.

Your Submissions

If you submit feedback or suggestions to VisionZeroAI, you assign all intellectual property rights in those submissions to us. You confirm that your submissions are not illegal, harmful, or misleading, and that you have the right to make them.

Breach

Any breach of our intellectual property rights constitutes a material breach of these Terms and will result in immediate termination of your access to Signal.

4. Your Account

To access Signal's core features, you must create an account. When registering, you agree to provide accurate, current, and complete information; keep your registration information up to date; keep your password confidential and not share it with others; accept responsibility for all activity that occurs under your account; and notify us immediately if you suspect unauthorised access.

You must not access Signal through automated or non-human means, or use the Services for illegal or unauthorised purposes. Providing false registration information may result in suspension or termination of your account.

5. Subscriptions & Billing

Plans

Signal offers three subscription plans priced in South African Rand (ZAR). The Free plan (R0/month) includes the global CVE feed, KPI monitoring, urgency scoring for the global view, and limited threat feed refreshes and CVE intelligence queries. The Pro plan (R1,499/month) adds the full Vulnerability Dashboard, technology stack intelligence, environment-scoped threat feed, urgency scoring for your stack, KEV tracking within your environment, and unlimited queries. The Enterprise plan (R2,499/month) adds up to three independent managed environments with separate stacks, pressure scores, and threat lists per environment. Annual billing is available at a discounted rate. Prices may change with advance notice.

Payment

Payments are processed in South African Rand (ZAR) by PayFast, a South African payment processor. When you subscribe, you will be directed to PayFast's secure payment page. PayFast's terms and privacy policy govern how your payment information is handled. VisionZeroAI does not store your card number, CVV, or bank account details.

Cancellation

You may cancel your subscription at any time by contacting us at info@visionzero.co.za. Cancellation takes effect at the end of your current paid period. You retain access to paid features until then. Renewing your subscription for a new period requires initiating a new payment.

Refunds

6. Acceptable Use

You agree not to use Signal in any way that violates any applicable law or regulation; infringes the intellectual property rights of VisionZeroAI or any third party; involves systematically retrieving data to build a competing database or directory without our written permission; involves uploading or transmitting viruses, malware, or other disruptive code; involves using automated scripts, bots, scrapers, or data mining tools without authorisation; attempts to circumvent, disable, or interfere with security features of the platform; attempts to access data, accounts, or environments you are not authorised to access; involves impersonating another user or person; involves using Signal to conduct unauthorised vulnerability scanning of third-party systems; or involves decompiling, disassembling, reverse engineering, or creating derivative works based on Signal.

Violation of these requirements may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement.

7. Your Data

You retain all ownership rights to the data you submit to Signal, including your technology stack configurations, environment data, and watchlist entries. You grant VisionZeroAI a limited licence to process this data solely for the purpose of providing the Service to you.

You are responsible for the accuracy of the data you submit. VisionZeroAI does not independently verify your technology stack configurations. The quality of Signal's vulnerability matching depends on the accuracy of the data you provide. You can delete your environments, stack entries, and account data at any time from within the platform or by contacting us. See our Privacy Policy for details on how we handle your data.

8. Beta Features

From time to time, VisionZeroAI may make beta, preview, or experimental features available in Signal. These features are provided as-is, without warranty of any kind, and may be incomplete, unstable, or subject to change. Beta features may be modified, suspended, or discontinued at any time without notice. VisionZeroAI accepts no liability for any loss or disruption arising from your use of beta features. Do not rely on beta features for critical security decisions.

9. Third-Party Services

Signal relies on third-party services to operate, including Supabase for authentication and database infrastructure, and PayFast for payment processing. For a complete list of sub-processors, see our Privacy Policy. Vulnerability and threat intelligence data is sourced from third-party sources including the National Vulnerability Database (NVD) and the CISA KEV catalogue. See Section 12 for more information.

Your use of any third-party service is governed by that service's own terms and privacy policy. VisionZeroAI is not responsible for the content, availability, or practices of third-party services.

10. Termination

These Terms remain in effect for as long as you use Signal. VisionZeroAI may suspend or terminate your access at any time, without prior notice, if we believe you have violated these Terms. You may close your account at any time by contacting us at info@visionzero.co.za.

If your account is terminated for breach of these Terms, you are prohibited from re-registering. VisionZeroAI reserves the right to pursue civil, criminal, and injunctive remedies where appropriate.

11. Disclaimer & No Security Guarantee

Signal is provided on an "AS-IS" and "AS-AVAILABLE" basis. To the fullest extent permitted by applicable law, VisionZeroAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. VisionZeroAI does not warrant that Signal will be uninterrupted or error-free, that vulnerability data will be complete or current at all times, or that the platform is free of harmful components.

VisionZeroAI may change, modify, or remove features of Signal at any time without notice and without liability.

12. Threat Intelligence Data

Signal's vulnerability and threat intelligence data is sourced from third-party sources, including the National Vulnerability Database (NVD), maintained by NIST, and the CISA Known Exploited Vulnerabilities (KEV) catalogue.

This data may not always be complete, current, or error-free. VisionZeroAI does not independently verify all third-party data and makes no representations about its accuracy or completeness. Signal's CVE data is refreshed automatically on a scheduled basis, but there may be delays between the publication of a vulnerability and its appearance in Signal. You should not rely on Signal as the sole source of vulnerability information for critical security decisions.

13. Limitation of Liability

To the fullest extent permitted by applicable law, VisionZeroAI, its directors, employees, and agents will not be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages — including lost profits, lost revenue, or loss of data — arising from your use of Signal.

In no event will VisionZeroAI's total liability to you exceed the greater of (a) the amount you paid to VisionZeroAI in the three months immediately preceding the event giving rise to the claim, or (b) R500. Some jurisdictions do not allow certain liability exclusions; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless VisionZeroAI and its officers, agents, and employees from and against any losses, damages, liabilities, claims, or demands (including reasonable legal fees) arising from your breach of these Terms, your violation of any third party's intellectual property rights, or your misuse of the Signal platform. VisionZeroAI reserves the right to assume exclusive control of the defence of any matter for which you are required to indemnify us, at your expense.

15. Governing Law & Disputes

Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of law principles.

Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at info@visionzero.co.za. Both parties will make a good-faith effort to resolve the dispute within 30 days of written notice.

Formal Disputes

If informal resolution is unsuccessful, disputes will be referred to the courts of South Africa, with the seat of jurisdiction in Pretoria, Gauteng. Both parties consent to the exclusive jurisdiction of those courts. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

16. General

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VisionZeroAI regarding your use of Signal.

Severability. If any provision of these Terms is found to be unlawful or unenforceable, that provision will be severed without affecting the remaining provisions.

No Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment. VisionZeroAI may assign its rights and obligations under these Terms at any time. You may not assign your rights without our prior written consent.

Force Majeure. VisionZeroAI is not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, power outages, or internet disruptions.

Corrections. Signal or the VisionZero website may contain typographical errors or inaccuracies. VisionZeroAI reserves the right to correct these at any time without prior notice.
